The last comprehensive overhaul of Swiss corporation law dates from 1991. The revised law was intended to provide more transparency, improve shareholder rights and set goalposts with respect to corporate organization and corporate powers. But the 1991 corporation law fell short of international standards, especially for listed companies.

Numerous pieces of legislation and self-regulatory instruments promulgated in the 1990s and early 2000s have provided redress. Today’s legal framework for Swiss listed companies is at a level with the most developed nations. Switzerland remains an attractive business location for multinational companies, proof that the Swiss regime is fit for purpose.

Even so, a further Swiss corporation law reform has been in the works for more than 10 years now. Not all of the proposals are necessary; not all of them are in the interests of business; and many new proposals are part of a general debate on societal issues rather than improvements to the rather…
