The independent proxy emerged in Swiss company law a few years ago through the back door of the Minder initiative (Article 95 Federal Constitution). This constitutional provision was then implemented by the Ordinance against Excessive Remuneration in Listed Companies Limited by Shares (ORAb), which has been in force since 1 January 2014. Its institution has been given a new lease of life with the…

Data access is central for the development of Artificial Intelligence (AI). Data may be however subject to a multitude of rights and actors (e.g. copyrighted works or personal data posted on social media or collected through captcha and used for AI training purposes), leading to a fragmented legal framework and legal frictions. This contribution explores how to apply open and free licenses to all…

The screening of foreign investment has become a growing concern for many countries. In the midst of a trade war between the US and China as well as issues related to state-owned companies’ interference in the EU, it is bound to become a subject of heated debates in Switzerland. As we continue to live through a global pandemic, some countries are seeing themselves lacking or at least vulnerable…

The contribution focuses on persons under an adult protection measure that deprives them (totally or partially) of civil capacity (legal capacity). The authors consider that the need for protection of these persons is incompatible with any status involving unlimited liability for debts related to a going concern as well as with the functions of a manager of a commercial company. This…

The regulations governing financial institutions and services are bringing new actors – such as portfolio managers and trustees – within the scope of FINMA supervision, supported by a reformed self-regulatory framework. It is worth comparing the latter with the set of rules and organizational measures adopted for the registration of client advisors and the control of prospectuses for securities…

Switzerland is a world-leading nation in terms of entrepreneurship and promotion of innovation. Its universities produce a high number of start-ups. Its economy is based on a web of small and medium-sized companies, which make for the bulk of the country’s economic activity. Paradoxically though, the Swiss capital markets are relatively inefficient in channeling savings to companies. Only a…

Gouvernance des groupes: «E Pluribus Unum»?

The atomistic vision of the legal independence of a company comprised within a group reflects a historical conception. This view is not consistent with the reality of the group, which has become a predominant model structure in the economic sphere. The recognition in case-law of the group’s interest would allow the economic phenomenon to be taken into account in a positive manner, while…

Propositions pour un trust suisse

New voices, including in Parliament, are now calling for the adoption of the trust as an institution of Swiss law. This would provide Swiss residents with a much-needed vehicle for estate planning and structuring. It would also improve the legal certainty and robustness of very common business transactions. Notably it would allow lawyers, notaries and other professionals to protect their clients’…

Le traitement fiscal des sanctions financières

Until recently, the question of whether penalties of a criminal law nature were to be treated as deductibles expenses for tax purposes was fuelled with controversy. In essence, the Court held that penalties of a criminal (or…

Traditionally, the general meeting of shareholders was viewed as the ideal place where shareholders take their decisions based on the expression of their contradicting views.

Instances in which non-compliance with financial regulations can give rise to a criminal liability are on the rise. This creates a tension between the need for flexibility in the implementation of financial laws and the requirement that behaviours that may give rise to a criminal conviction be clearly defined by law. The rules on disclosure of shareholdings in listed companies are an example…
