Increasing digitisation is changing the society and economy, and therefore also affects the law regulating stock corporations. Wherever possible, physical processes are replaced by digital ones. With the emerging of distributed ledger technology (hereinafter DLT), a tendency towards dematerialization can be observed. DLT, or the technology of distributed electronic registers, is the technology of digital, decentralized account management. In December 2018, the Federal Council published a bill on the legal framework of block chain and DLT. It emphasized that it wants to create the best possible framework conditions in order for Switzerland to establish itself and evolve as a leading, innovative and sustainable location for fintech and DLT companies. Moreover, the Federal Council wants to consistently combat systemic abuse and ensure the integrity and good reputation of Switzerland as a financial hub and business location.
